1. Scope
These terms govern information on the NODEX website and related guidance, application pathways and device support. A separate purchase agreement between the purchaser and the relevant seller governs each NODEX purchase.
2. Parties and roles
The seller is identified in the purchase agreement. Unless that agreement states otherwise, the master distributor, developer, supplier and logistics or maintenance contractors are not the seller, agent or guarantor.
3. Nature of information
The website provides general information about the product, setup, operation, warranty and trade-in program. It does not offer or solicit a financial product, crypto asset, investment advice, investment management, exchange service or other financial service.
4. Application and contract
Submitting an information, consultation or application form does not create a purchase contract. Quantity, price, payment and delivery are governed by the seller’s quotation, invoice and purchase agreement.
5. Product, price and delivery
NODEX is compact hardware for transaction computation. The standard Japan price is JPY 99,000 per unit including tax; final terms are stated in the purchase documents. Products may include serviced, reconfigured or recirculated units and are not guaranteed to be new.
6. Installation and records
The user prepares power, wired internet and a compatible wallet, then connects and registers the device as instructed. Serial numbers, QR codes, operation logs and reports should be retained where necessary.
7. Compensation and no guarantee
Amounts described as rewards in contracts, dashboards or related materials mean compensation corresponding to computation performed by NODEX. Amounts vary with transaction volume, computing resources, networks, protocols, fees, law and system conditions. No fixed amount, recovery of the purchase price, continuous operation or specific economic effect is guaranteed.
8. Wallet management
The user is responsible for wallet addresses, private keys, seed phrases and passwords. The seller and related parties do not hold them.
9. Minimum term and termination
The minimum contract period is two months from the later of the purchase agreement date and operation start date. After that period, the user may request operational termination and trade-in under the prescribed process.
10. Trade-in
Trade-in is the purchase of returned used equipment after inspection. It is not a return, refund, principal guarantee, investment recovery or guarantee of future value. The reference price may be reduced or declined because of condition, missing items, identification, modification, failure, breach, inventory, law or other circumstances.
11. Trade-in payment
Payment follows operational termination, physical return, inspection and final pricing, with the end of the second month after application as the general target. Delays may occur for return, inspection, ownership checks or offsets.
12. Warranty
The standard warranty for failure under normal use is one year from the later of the purchase agreement date and delivery. Replacements may be equivalent, serviced or reconfigured units. Exclusions include falls, water, fire, abnormal voltage, modification, misuse, external networks, power and third-party services.
13. Prohibited conduct
Users must not engage in unlawful activity, money laundering, terrorist financing, organised-crime involvement, modification, disassembly, reverse engineering, record falsification, unauthorised lending, unauthorised access, malware use or intellectual-property infringement.
14. Intellectual property
Rights in the website, product, software, names, logos and materials belong to NODEX TEC PTE. LTD., relevant distributors, developers, suppliers or other lawful owners.
15. Personal information
Contact, purchase, device and operation information may be processed for contract performance, delivery, registration, support, reporting, maintenance, trade-in and legal compliance, and shared with necessary contractors in accordance with applicable law.
16. Service changes
The website or related services may be changed or suspended for maintenance, failures, network or protocol changes, legal changes, force majeure or other reasonable needs.
17. Disclaimer and liability
No particular result is guaranteed regarding tax or accounting treatment, crypto or network changes, wallet management, third-party services or trade-in pricing. Except in cases of wilful misconduct or gross negligence, the seller’s liability is limited to the purchase price paid by that user.
18. Exclusion of antisocial forces
Users represent that neither they nor related parties are organised-crime groups or similar forces and that they do not provide funds or other involvement.
19. Transfer
A user transferring, lending or reselling NODEX must notify the seller in advance and complete required registration changes.
20. Notices and amendments
Notices may be delivered in writing, by email, chat, dashboard or website publication. Reasonable amendments may be made for legal or service changes, with material changes announced appropriately.
21. Governing law and jurisdiction
Japanese purchase and distribution arrangements are governed by Japanese law, with the court specified by the seller’s purchase agreement having agreed first-instance jurisdiction. Other mandatory local laws may apply.
22. Priority of individual agreement
If these terms differ from a purchase agreement, quotation or invoice, the individual agreement prevails. Website content does not amend individual terms or create an additional guarantee.
